Terms and Conditions

These terms and conditions ("Terms") are issued by IRL meetups LLP incorporated in India, having its registered office at #421/J, Sri Krishna Temple Road, Binnamangala, Indiranagar, Bengaluru, Karnataka, India 560038 ( "IRL", "we", or "us" or "our"), govern your ( "User" or " you" or " your" or " yours") usage of our web platform by the name and style "In Real Life" including all future releases of our website, hosted at inreallife.co ("Website"). For the purpose of these Terms, the dashboard and the Website shall be collectively referred to as (the "Platform").

These Terms will apply to you if you are an unregistered visitor or are a member registered on the Platform. Visiting, browsing, accessing, or using the Platform constitutes your unconditional acceptance and agreement to be legally bound by these Terms. If you do not agree to these Terms, do not access or otherwise use the Platform. Please read these Terms in conjunction with our privacy policy available here ("Privacy Policy"). IF YOU DO NOT AGREE TO BE BOUND BY THESE TERMS AND CONDITIONS OR BY THE PRIVACY POLICY, DO NOT USE OR REGISTER WITH THE PLATFORM OR FOR THE SERVICES.

These Terms are updated from time to time at our sole discretion and the most updated version is available on the Platform at all times along with the date of last revision. Continued use by the User of the Platform after any revision indicates the User's acceptance of the updated/ revised Terms. Your use, registration or participation in any manner with the Platform or the Services being provided confirm, agreement to the Terms and any applicable policies.

A.What we do

1. IRL provides access to a Platform curated exclusively for persons who are "single" or otherwise persons who are not in a committed relationship. The Platform provides access to events specifically set up for singles and provides information regarding events for meetups.
2. IRL hosts and/or manages events for singles to meet up ("Events"). Such events may be plays, movies, dinners, parties, outdoor activities. The Platform provides information regarding such events, including information such as pricing, availability and reservation for tickets etc. IRL hosts these Events either by itself or with a third party event partner.
3. IRL may also provide matchmaking services consisting of recommendations and suggestions of other users based on the specific Users' requirements (collectively, the "Matchmaking Services").
4. IRL may offer additional services or revise any of the services, at its discretion at any future date in which case these Terms shall apply to all additional services or revised services. All rights to cease offering any of the services on the Platform are reserved with IRL.

For the purposes of these Terms, all the above shall collectively be referred to as the "Services".

B. Creating your Account and Profile

1. To access the Services, you will need to be a registered member on the Platform. You will first need to create a profile ("Profile") which may inter alia include providing details such as your name, age, address, place of work, location, date of birth, job title, qualifications, email address, mobile phone.
2. To use the Platform and avail Services, and subject to our Privacy Policy, you are (where feasible), required to allow us access to information that we may require to provide you with our Services. You have the right to revoke permissions on access to your data at any time, however, it may impair your access to our Platform and the Services.
3. You agree to receive communications from us which maybe regarding: (i) information relating to events; (ii) information about us, the Services, and Platform including any modifications thereto; (iii) promotional offers and services from us; and (iv) any other matter in relation to the Services.
4. Once your Profile is created, you will need to undergo a personality assessment prepared by IRL specialists/ experts in the panel. You are expected to fill in/ respond to the questions in the personality assessment. This will be helpful for IRL to make recommendations, if at all, of the closest match in personality type and probable compatibility with other Users. There is a possibility that occasionally the matching system cannot identify high quality compatible matches or meet the minimum matching threshold required in our system for any given individual for either identifiable reasons or not, in which case, we will not be able to provide the Services on this Platform to the User and could even cause the account and profile to be terminated at the sole discretion of IRL. You may choose not to participate in such assessment, however, it will impair your opportunity to become a member of the Platform.
5. A subscription fee will be charged at the time of creating the Profile. The fee is payable for the duration of the intended subscription. The Profile will not be live on the Platform until payment of the fee in entirety. No refund of the subscription fee will be provided.

C. Eligibility

1. Age- To access/visit the Platform, you must be at least 18 years old. It is possible that certain Services may have other age requirements and such other age requirements are stated at the relevant places.
2. Marital Status - The Services provided by IRL are only accessible to persons who are single. By requesting to use, registering to use, or using the Services, the user represents and warrants that the User is not married and is not in a committed relationship, but is single. The User may be divorced or widowed. If the User is not legally divorced, then the Services will not be available for the User until the divorce is legally completed.
   Once a User becomes a member, if the status of the user changes from "single" to married or "committed", the Services will no longer be available to the User. After you become a member of the Platform, if your relationship status changes, please ensure to write into support@inreallife.co.
3. Criminal History. By requesting to use, registering to use, and/or using the Service, the User represents and warrants that the User has never been convicted under any law governing us or the User. IRL reserves the right to conduct a background check, at any time to confirm the possibility of misrepresentation. If in future, you are convicted of any criminal action, the user will not longer be permitted to use the Services.
4. Verification. By signing up to the Platform and creating a Profile, the User hereby authorises IRL (and its third party authentication agency) to conduct verification checks on the User. The verification process is critical/ important for receiving the complete set of Services offered. The User will be requested to provide the required documents and fill up the necessary consent forms for initiating and completing the verification process. User agrees and confirms that non-abidance of verification requests made by IRL or if IRL is notified of false information provided by the User, the Profile shall be deleted at the instance of IRL without any recourse, whatsoever. User agrees and understands that IRL or its third party service provider and their associates are not the author or creator of the information coming forth in the verification checks. Under this premise and limitations, IRL or its third party service provider or their associates do not warrant accuracy, validity or completeness of the content of the verification checks.

If the report indicates any conflict in facts vis-a-vis the information provided by the User, then IRL is likely to rely on the professional judgement of the third party service provider in determining the outcome of the verification check. If IRL, in its sole and reasonable judgement, believes that the information provided by the User negatively impacts the Services or IRL 's ability to deliver the Services to other users, then IRL reserves the right to cease providing Services or certain identified Services based on the verification report with no claim or recourse from the User.

D. Use of Platform and Service.
The User agrees to the following specific conditions:

1. Exclusive Use. The account with the Platform is available only through a paid account. Once an account is created with the Platform, it is for the User's exclusive personal use only. The User must create a secure password and ensure that this is strictly maintained as confidential. Without permission of the Platform owner, the User may not authorise others to use the account. The account with the Platform is non-assignable and non-transferable to any third party. The User acknowledges and confirms that IRL is not responsible for third party access to the User's account that results from theft, hacking or misappropriation of usernames and passwords.
2. Geographic Limitations. The Platform and Services are currently intended for Users within identified metropolitan cities in India. The Services and the Platform at some time may be made open to other geographical locations as well and the same will be made known to the Users through notifications/ intimation on the Platform. The User agrees at all times to use the Services in a manner consistent with these Terms and any and all applicable local, state, national and international laws and regulations, including, but not limited to, the laws where the User is located or is a national of. By using the Services, as a User, You represent that you have not been designated by any applicable law or regulation as a person / entity to whom the provisions of the Services cannot be provided and who is prohibited from receiving the Services. Registration for, and use of, the Services become void if the same have been prohibited and the User uses or registers with the Platform. You are responsible for determining whether the use of the Services is legal in your jurisdiction.
3. Information Submitted. The User is solely responsible for, and assumes all liability regarding, (i) the information and content provided on the Platform by the User for the Service; (ii) User interactions with other users/members on the Platform; and (iii) the information provided in the Personality Assessment or verification process. The Platform shares User information with specific User matches.
4. Risk Assumption and Precautions. All risks when using the Services and the Platform, including but not limited to all of the risks associated with any online or offline interactions with others, including meeting other Users/members remain with the User. The User is expected to use his / her best judgement in availing the Services or engaging with other Users on the Platform whether online, in any Events or outside. The User agrees to take all necessary precautions when meeting individuals through the Platform and under the Services. In addition, the User agrees and confirms to review and follow the recommendations set forth in the Platform as pointers to safety and/ or mailed to User from time to time. The User undertakes to adhere to the safety pointers and shall all times be responsible for all outcomes of meeting/ sharing information and/ or being in a short or a long term relationship through the Services/ Platform. It is accepted and understood by the User that at all times the User shall use his/ her best judgement and discretion in receiving the Services through the Platform or proceeding with a match and/ or deciding to be in a relationship with a match herefrom.
5. Cancellation At Any Time With No Refund. Except as otherwise stated in this section, the User may cancel his/ her registration or subscription to Services at any time during the term of such registration or subscription or any renewal period. If You wish to cancel your subscription, please write to support@inreallife.co. There will not be any refund for any unused days of such subscription term
6. Renewals- You will need to renew your subscription at the end of the subscription period. There could be times when special promotional offers are issued for renewals of different durations than the original. All renewal periods are communicated to the User upon confirmation of subscription.
7. No Guarantees. IRL through the Platform and its specific systems attempts to provide matches on a best effort basis. However, every User may not find ideal matches through the Services. Furthermore, IRL does not make any representations or guarantees regarding the number or frequency of matches through the Service, or the ability, desire or criteria of such proposed matches to communicate with the User. The User fully understands and accepts that IRL makes no guarantees, either express or implied, direct or indirect, regarding User's ultimate compatibility with other Users or matched profiles.
8. No Tolerance for Objectionable Content or Abusive Users. Abuse, trolling, inappropriate & objectionable content such as (but not limited to) threats, nudity, obscenity, homophobic, misogyny, transphobic etc. are an immediate violation of the Terms of Use of IRL. If any such violation is brought to IRL's attention, IRL will take strict and relevant action against such violation. Please refrain from any behaviour that could be objectionable to any other individual. You are expected to use your best judgement on good behaviour.
9. Reporting of Violations. The User is obligated and will promptly report at the Platform any violation of the Terms and Conditions by others, including but not limited to, Users as soon as the User becomes aware of the same. Please write into support@inreallife.co for any violations.
10. Content Removal. IRL reserves the right, but has no obligation, to monitor the information or material User submits to the Platform. IRL at all times reserves all rights to remove any such information or material that in its sole opinion violates, or may violate, any applicable law or either the letter or spirit of this Terms and Conditions or the integrity of any other User or upon the request/ report of any third party.
11. Posting and Communication Restrictions. The User will not post, transmit to other users, communicate any content (or links thereto), or otherwise engage in any activity on the Platform or through the Services, which:
1. promotes any kind of discriminatory material, racism, bigotry, hatred, or physical harm of any kind against any group or individual;
2. is intended to or tends to harass, annoy, threaten or intimidate any other users of the Platform or Services;
3. is defamatory, inaccurate, abusive, obscene, profane, offensive, sexually oriented, obscene or otherwise objectionable;
4. contains others' copyrighted content (e.g., music, movies, videos, photographs, images, software, etc.) without prior approval of the owner;
5. contains video, audio photographs, or images of another person without his or her permission (or in the case of a minor, the minor's legal guardian);
6. promotes or enables illegal or unlawful activities, such as instructions on how to make or buy illegal weapons or drugs, violate someone's privacy, harm or harass another person, obtain others' identity information, create or disseminate computer viruses, or circumvent copy-protect devices;
7. intended to defraud, swindle or deceive other users of the Services;
8. contains viruses, time bombs, trojan horses, cancelbots, worms or other harmful, or disruptive codes, components or devices;
9. promotes or solicits involvement in or support of a political platform, religion, cult, or sect;
10. disseminates another person's personal information without his or her permission, or collects or solicits another person's personal information for commercial or unlawful purposes;
11. impersonates, or otherwise misrepresents affiliation, connection or association with, any person or entity;
12. solicits gambling or engages in any gambling or similar activity;
13. uses anything or other automated technology to access the Platform or Services;
14. uses the Platform or Services for chain letter, junk mail or spam emails;
15. collects or solicits personal information about anyone under 18 years of age; or
16. is in any way used for or in connection with spamming, spimming, phishing, trolling, or similar activities.
12. No False Information. By registering with the Platform and receiving the Services, the User undertakes not to provide inaccurate, misleading or false information to IRL or to any other user or recommended/ suggested matches. If information provided to IRL , or at the Platform or another user subsequently becomes or is known to have been inaccurate, misleading or false, then IRL may exercise reasonable judgement to terminate the User's access to Services and take such other action that may be deemed appropriate in the circumstances.
13. No Advertising or Commercial Solicitation. The User undertakes not to advertise or solicit any other user to buy or sell any products or services through the Platform or Services. Users are strictly prohibited against transmitting any chain letters, junk or spam e-mail to other users. Further, no User shall use any information obtained from the Services in order to contact, advertise to, solicit, or sell to any user without their prior explicit consent of IRL and the other such User. It is clarified that any such use of information shall be to the sole liability and responsibility of the User engaging in such activity. Breaching by any of the Users of the terms of this subsection and sending or posting unsolicited bulk email, "spam" or other unsolicited communications of any kind through the Services will cause substantial harm to IRL, and that the amount of such harm would be extremely difficult to ascertain.
14. Single Bona Fide Profile. As a Registered User of the Service, the User is expected to create only one bona fide profile. In addition, it is stressed that the use of the Service must be for bona fide purposes in order to maintain the integrity of the Services being offered through the Platform. From time to time, IRL creates test profiles in order to monitor the operation of the Services and also offers a feature to refer profiles/ prospective Users. The Users, at their will, can accept these offers and refer profiles to IRL. All references to the Platform, made by a User shall be of his/ her free will and wish.
15. Promotions. IRL may offer promotions from time to time on the Platform and in the context of the Services. Please note for any promotions on the Platform, the User shall be under no obligation to accept the same.
16. Selection of Profiles. IRL may make recommendations of matches from time to time. The User acknowledges and accepts that the decision to accept a recommended match or not or engage with a recommended match or not will be the sole discretion of the User in question, IRL shall not be liable or responsible for any outcome whatsoever of such suggestions/ recommendations of matches. It is clarified that all suggestions/ recommendations are made in good faith and with intentions of well being whether or not to explore those suggestions/ recommendations are solely and completely in the judgement and assessment of the User.
17. No Harassment of IRL Employees or Agents. The User is prohibited from harassing, annoying, intimidating or threatening any IRL employees or agents engaged in providing any portion of the Services. If any User breaches this provision of these Terms and Conditions, then IRL may take any legal action it deems appropriate against such User without prejudice to IRL 's any other rights in law or tort.

E. Proprietary Rights.

1. Ownership of Proprietary Information. The User confirms and agrees that IRL is the owner of proprietary information, including without limitation, the compatibility matching system, compatibility profiles, and personality assessment forms being shared on the Platform (collectively, "Confidential Information"). IRL owns and hereby retains all proprietary rights in the Services, the information provided in the Platform, including but not limited to, all Confidential Information.
2. No Use of Confidential Information. The User undertakes not to post, copy, modify, transmit, disclose, show in public, create any derivative works from, distribute, make commercial use of, or reproduce in any manner any (i) Confidential Information or (ii) other copyrighted or copyrightable material, trademarks, or other proprietary information accessible via the Services, Platform or the information on the Platform without first obtaining the prior written consent of IRL , who is the owner of such proprietary rights.
3. Other Users' Information. Other users/members may post information about themselves which maybe copyrighted whether or not it is identified as copyrighted. The User undertakes not to copy, modify, publish, transmit, distribute, perform, display, commercially use, or sell any Confidential Information of IRL or any information copyrighted or copyrightable or not of third party proprietary information available via the Services or the Platform. Users are prohibited from posting any material which may belong to or be copyrighted by any other person, whether such person is a member of the Platform or otherwise.
4. Licence to Posted or Accessed Content. By posting information about oneself in the Profile, the User grants unconditionally and in perpetuity, and represents and warrants that the User has the right to grant, to IRL and its users, an irrevocable, perpetual, non-exclusive, fully-paid, worldwide licence to use, reproduce, publicly perform, publicly display and distribute such information and content, and to prepare derivative works of, or incorporate into other works, such information and content, and to grant and authorize sub-licenses of the foregoing. From time to time, IRL may create, test or implement new features or programs on the Platform in which the User may voluntarily choose to participate or may be a part of a test group with special access, in accordance with the additional terms and conditions of such features or programs. By participating in such features or programs, the User grants and unconditional and perpetual right to IRL and consents to terms and conditions (if any) of such features or programs.

F. User Information.

1. Privacy Statement. For information about the collection and possible use of information and material provided by the User at the Platform, please review the Privacy Policy on the Platform.
2. No Contact Information. User agrees that User will not post any e-mail addresses, personal webPlatform address, personal phone numbers on a third party website, or other contact information in the "About Me" section of the Service or in any other communications the User may have with other users.
3. If You authorise us, we may exchange your contact information with other Users. We are not responsible for any actions of Users once we have shared such information. You are advised to use your best judgement when interacting with such other Users or while consenting to provide your information to someone else.
4. Disclosure By Law. The User is aware and agrees and consents unconditionally to disclosures of information on the Platform required to be made: i) under law by IRL ; ii) at the request of a third party under various consent forms; iii) any investigative requirement, or if IRL , in its sole discretion, believes that disclosure is reasonable to (1) comply with the law, requests or orders from law enforcement, or any legal process (whether or not such disclosure is required by applicable law); (2) protect or defend IRL 's, or a third party's, rights or property; or (3) protect someone's health or safety, such as when harm or violence against any person (including the user) is threatened; or (4) in support of a fraud/ legal investigation/ verification checks.
5. Disclosure to Protect Abuse Victims. Notwithstanding any other provision of these Terms or the Privacy Policy, IRL reserves the right, but has no obligation, to disclose any information that the User submits on the Platform, if in its sole opinion, IRL suspects or has reason to suspect, that the information involves a party who may be the victim of abuse in any form. Information may be disclosed to authorities that IRL, in its sole discretion, deems appropriate to handle such disclosure. Appropriate authorities may include, without limitation, law enforcement agencies, child protection agencies, or court officials, expert professional investigative agencies. The User understands the provisions of this subsection and grants IRL unconditional, perpetual right and permission to make such disclosure.
6. Use of Anonymous Information for Research. By using the Services, the User permits IRL to anonymously use the information from the User and User experiences through the Services to continue / contribute to IRL 's research into successful relationships and to improve the experience and quality of the Services. Such research is conducted by psychologists and behaviour research scientists on the panel of IRL. However, all of User responses will be anonymous, and nothing containing User's personal identifying information shall be published. You agree that we may, in accordance with our Privacy Policy, collect and use your information and technical data and related information. We may use aggregated and anonymised information and data pertaining to your use of the Services for analytics, trends' identification, and purposes of statistics to further enhance the effectiveness and efficiency of the Platform.

G. Links to Third-Party Web Sites / Dealings with Advertisers and Sponsors/ Third Party recommendations.
The Services may contain links to web sites of third-parties, including without limitation, advertisers, which are not under the control of IRL , and IRL is not responsible for the content of any linked platform or any link contained in a linked site, or any changes or updates to such websites. IRL provides these links as a convenience on the Platform, and the inclusion of any link does not imply that IRL or the Platform endorses or accepts any responsibility for the content on such third-party website. The User's correspondence or business dealings with, or willingness of participation in promotions of, advertisers or third parties found on or through the Services (including payment), shall be solely between the User and such advertiser or third party. The User acknowledges and confirms that IRL will not be responsible or liable for any loss or damage of any sort incurred as the result of any such dealings, including the sharing of the information the User shares/ provides to IRL with advertisers or any third party or as the result of the presence of such advertisers or third parties on the Services.

H. Attending Events

1. IRL organises Events to meet other members of IRL. You may choose to attend these Events at an additional cost.
2. Our Events are for adults of an indicative age group. All participants are requested to carry a valid identity proof document issued by a governmental authority.
3. Participants must give extra attention to their grooming and be at their best behaviour at any Event. IRL reserves the right to ask any member to leave if in IRL's reasonable judgement such person's behaviour or demeanour is not appropriate to the Event being hosted.
4. Our registration fee is inclusive of taxes and limited food and beverages which are offered by our venue partners. Any extra food or beverage which you intend to order will be charged separately by the venue partner.
5. Reservations once made are not cancellable. No refunds will be provided. Should you however wish to transfer a ticket to an Event, you may do so atleast 48 hours in advance to the Event. All such transfers must be to an existing User of the Platform.
6. We click photos and videos of our Events and post them online. By attending the Event you give us your consent to be photographed and recorded.
7. Please note that IRL only organises and hosts the Events and we have no obligations towards the participants for their activities at the Event or the food and beverages provided by the catering or venue partner.

I. Disclaimer of Warranty.

1. No Warranties. This section will apply to the maximum extent permitted by applicable law. You acknowledge and agree that the use of the Services and your access to the Platform is at your sole risk. The Platform including any data, information, third party services, reference sites, services, or software made available in conjunction with the Services or through the Platform are provided on an "as is" and "as available" basis and without warranties or representations of any kind, either express or implied. You hereby accept full responsibility for any consequences that may arise from your use of the Services and the Platform, and expressly agree and acknowledge that we shall have absolutely no liability with respect to the same.
2. IRL provides the Services on an "as is" and "as available" and "best efforts" basis and grants no warranties of any kind, whether express, implied, direct, indirect statutory or otherwise with respect to the services or the result of the services or the platform (including all information contained therein), including any implied warranties of correctness, validity, accuracy appropriateness, fitness, compatibility for a particular purpose or outcome or non-infringement. IRL does not warrant that the use of the services will be secure, uninterrupted, always available, error-free or will meet the user's requirements, or that any defects in the services will be corrected or result in the desired results. Nor does it represent or warrant that any match resulting in marriage or a committed relationship is of the highest compatibility and shall never result in divorce or separation. IRL disclaims liability for, and no warranty is made with respect to, the connectivity and availability of the services at all times and the results of the use of the services. IRL disclaims liability for the outcome of the verification checks for particular user expectations or aspirations and verification of facts and information provided by the user for self verification/ verification checks. IRL does not warrant anything about the usage, results, outcomes, performance of the services, either directly or indirectly at any point in time. All risks of receiving the Services are to the account of the user who is in complete awareness and willingness without any force subscribing to the Services.
3. Third party content. Opinions, advice, statements, offers, or other information or content made available through the Services, but not directly by IRL , are those of their respective authors, and should not necessarily be relied upon. Such authors are solely responsible for their own content. IRL does not: (i) guarantee the accuracy, completeness or usefulness of any information provided on the services, or (ii) adopt, endorse or accept responsibility for the accuracy or reliability of any opinion, advice, or statement made by any party other than IRL, or (iii) the background verification information provided by the third party expert service provider agency. Under no circumstances will IRL be responsible for any loss or damage resulting from anyone's reliance on information or other content posted on the services, or transmitted to or by any users or any relationship resulting in marriage, committed relationship or any marriage resulting in divorce or any background verification information being false.
4. New Features. From time to time, IRL may offer new features or tools with which its users may experiment on the Services. Such features or tools are offered solely for experimental purposes and without any warranty of any kind, and may be modified or discontinued at IRL's sole discretion. The provisions of this Disclaimer of Warranty section apply with full force to such features or tools.

J. Limitation of Liability and Release.

1. Incidental damages and aggregate liability. To the maximum extent permitted by applicable law, in no event will IRL be liable for any incidental, special, consequential or indirect damages arising out of or relating to the use or inability to use the services, result of using the Services including, without limitation, damages for recommendation of the Platform, failed marriage achieved through the Platform, broken/unsuccessful relationship, outcome of verification checks, loss or corruption of data or programs, service interruptions and procurement of substitute services, even if IRL knows or has been advised of the possibility of such damages. To the maximum extent permitted by applicable law, under no circumstances will IRL be liable for any liquidated or punitive damages.
2. No liability for non-IRL actions. To the maximum extent permitted by applicable law, in no event will IRL be liable for any damages whatsoever, whether direct, indirect, general, special, compensatory, consequential, and/or incidental, liquidated, punitive arising out of or relating to recommendation of the Platform, the conduct of a User or anyone else in connection with the use of the Services, including without limitation, bodily injury, emotional distress, financial loss and/or any other damages resulting from communications or meetings with other Users or as a result of using the Services. This includes any claims, losses or damages arising from the conduct of Users who have registered under false pretences or who attempt to defraud or harm other Users or failed marriages/relationships or divorce caused under the use of the Services.
3. Release. To the full extent permitted by applicable law, you agree to release us and our officers,partners, directors, shareholders, agents, employees, consultants, corporate parent, affiliates, subsidiaries, sponsors, and other third-party partners from claims, demands, and damages (direct and consequential) ("Claims"), arising out of or in any way connected with any transaction with a third party, your interactions with other members, or in connection with any Events. You also agree, to the full extent permitted by applicable law, to release organizers from Claims based on an organizer's negligence arising out of or in any way connected with any Events. You acknowledge that some Events may carry inherent dangers, such as the risk of illness, bodily injury, disability, or death. By participating in these Events, you understand and agree that you have freely chosen to assume these risks.

K. Indemnification.
The User agrees to indemnify, defend and hold harmless IRL , its affiliates, subsidiary and parent companies, and each of their officers, directors, employees, agents and related third parties, for any losses, costs, liabilities and expenses (including reasonable attorneys' fees) relating to or arising out of the User's actions or any third party claim that (a) the User's use of or inability to use the Platform or Services, (b) any user postings made by the User, (c) the User's violation of any terms of this Terms and Conditions or the User's violation of any rights of a third party, or (d) the User's violation of any applicable laws, rules or regulations, or (e) the User providing any false information to IRL or conspiring and abetting with any third party for seemingly substantiating such false information to appear as true. IRL reserves the right, at its own cost, to assume the exclusive defence and control of any matter otherwise subject to indemnification by the User, the User will co-operate fully in asserting any available defences in such case.

L. Term and Termination.

1. These Terms and Conditions become effective upon the User clicking on "I Accept" on the Platform and will remain in effect in perpetuity unless terminated hereunder. Either the User or IRL may terminate the User account at any time, for any reason or no reason, without explanation, effective upon sending written notice to the other party. IRL reserves the right to immediately suspend or terminate the User's access to any of the Services, without notice, for any reason or no reason. IRL also reserves the right to remove the User's account information or data from Services and any other records at any time at IRL 's sole discretion. In the event the account is terminated or access denied or suspended due to the breach of these Terms and Conditions or any other reason, then the User agrees that fees paid to IRL will be nonrefundable and all outstanding or pending payments will immediately become due and accelerated. The User may terminate the account by writing to support@inreallife.co.
2. Non payment of renewal fees on time will also be an indication of the User's desire to terminate his/ her account and discontinue receiving the Services. Following any termination of any User's use of the Service, IRL reserves the right to send a notice thereof to other Users with whom the User has corresponded. If the User wishes to continue exchange with any of the other users after terminating these Terms, then that will be at the sole discretion, responsibility and liability of such Users and IRL will not be responsible for any outcome/ impact or result of such interactions.
3. Termination shall not affect any liabilities incurred by the User prior to the termination or for acts performed while registered with the Platform which may result in a dispute post termination nor any provision expressed to survive or to be effective on termination shall expire. The obligations set out in this Section shall remain in full force and effect notwithstanding termination. Terms and Conditions will survive termination of the same by the User or by IRL.

M. Jurisdiction, Governing Laws and Dispute Resolution

1. These Terms shall be governed by, construed and enforced in accordance with the laws of India. Subject to other provisions in this clause M, courts in Bengaluru shall have exclusive jurisdiction over all issues arising out of these Terms or the use of the Services.
2. Any controversies, conflicts, disputes, or differences arising out of these Terms shall be resolved by arbitration in Bengaluru in accordance with the Arbitration and Conciliation Act, 1996 for the time being in force, which is deemed to be incorporated by reference in this clause. The tribunal shall consist of 1 (one) arbitrator appointed by us. The language of the arbitration shall be English. The parties to the arbitration shall keep the arbitration confidential and not disclose to any person, other than on a need to know basis or to legal advisors, unless required to do so by law. The decision of the arbitrator shall be final and binding on all the parties hereto. Each party to the arbitration shall bear its own costs with respect to any dispute.

N. Miscellaneous

1. Severability. If any provision of these Terms is determined by any court or other competent authority to be unlawful or unenforceable, the other provisions of these Terms will continue to be in effect. If any unlawful or unenforceable provision would be lawful or enforceable if part of it were deleted, that part will be deemed to be deleted, and the rest of the provision will continue to be in effect (unless that would contradict the clear intention of the clause, in which case the entirety of the relevant provision will be deemed to be deleted).
2. Assignment. You shall not licence, sell, transfer or assign your rights, obligations, or covenants under these Terms in any manner. We may assign our rights to any of our affiliates, subsidiaries, or parent companies, or to any successor in interest of any business associated with the Services without any prior notice to you.
3. Notices. All notices, requests, demands, and determinations for us under these Terms (other than routine operational communications) shall be sent to support@inreallife.co. Notices to the User will be sent to the last updated email address of the User as available with IRL.
4. Third Party Rights. No third party shall have any rights to enforce any Terms contained herein.
5. Force Majeure. IRL shall not be liable for its failure to perform under these Terms as a result of any event of force majeure events like acts of god, fire, wars, sabotage, civil unrest, labour unrest, action of statutory authorities or local or central governments, change in Laws, Rules and Regulations, affecting the performance of IRL, payment gateways or any other partners.
6. Waiver. Unless otherwise expressly stated, failure to exercise or delay in exercising a right or remedy, hereunder shall not constitute a waiver of the right or remedy or a waiver of any other rights or remedies, and no single or partial exercise of any right or remedy, hereunder shall prevent any further exercise of the right or remedy or the exercise of any other right or remedy.
7. Entire Agreement. These Terms, Privacy Policy and other policies on the Platform or made known by us from time to time, comprise the entire agreement between the User and us regarding the use of the Services, superseding any prior agreements/ correspondences between the User and us related to the User's use of this Platform or Services (including, but not limited to, any prior versions of these Terms).
